Sounds like a reasonable price to swap out the motor. Find out what kind of warranty is involved, if any. Find out if the engine is indeed "new," "used," or "remanufactured." New or remanufactured are comparable to each other, and both are better than used, but will cost more.
I would advise against driving your decision making based on things that "might" go wrong (such as transmission, PCM, catalytic converter...) You may read about specific problems in these areas, but the vast majority do not have major issues in these areas. Things will go wrong with your vehicle, you just have to accept that and roll the dice. Heck, you could drive away from the repair and a tree could fall on the back of the van.
